Please read these Terms carefully. Section 19 contains a binding arbitration provision and a class action waiver that affect how disputes between you and Northaven are resolved. You may opt out of arbitration within 30 days of your first purchase, as described in that section.
1. Agreement to These Terms
These Terms of Service (the "Terms") form a binding agreement between you and Northaven ("Northaven," "we," "us," or "our"), operated by RONDINELLI PATRIX SILVA TOLEDO, 11 Fernando Mauricio Street, Lisbon, Lisbon 1950-447, Portugal. They govern your access to and use of our website, our online store, and all content, products, and services we make available (together, the "Services").
By visiting our website, browsing our catalog, creating an account, subscribing to our communications, or placing an order, you agree to be bound by these Terms and by all policies incorporated into them by reference, including our Privacy Policy, Return & Refund Policy, and Shipping Policy. If you do not agree to these Terms, you may not use the Services.
2. Eligibility
You must be at least 18 years of age, or the age of legal majority in your state of residence, and capable of forming a binding contract in order to purchase from Northaven. By placing an order you represent that you meet these requirements, that the payment method you use belongs to you or that you are authorized to use it, and that all information you provide is accurate and complete. Our Services are offered to customers with shipping addresses in the United States; we may decline orders from any other jurisdiction at our discretion.
3. Accounts
You may create an account to manage your orders. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at help@northavencompany.com if you suspect unauthorized use. We may suspend or terminate an account that we reasonably believe has been used for fraud, abuse, or any breach of these Terms.
4. Products, Descriptions, and Availability
- We work to describe and photograph our timepieces as accurately as possible. Colors, finishes, and dimensions may appear differently depending on your screen, and minor variations between the product photograph and the item delivered do not constitute a defect.
- Product availability is not guaranteed. All products are offered subject to availability and may be modified, limited, or discontinued at any time without notice.
- We may limit the quantity of any product sold to a single customer, household, or address, and may restrict sales to resellers.
- Weights, water resistance ratings, power reserve figures, and similar specifications are provided by our suppliers and are approximate unless stated otherwise.
5. Authenticity
Northaven warrants that every timepiece it sells is supplied new, unused, and as described on the product page at the time of purchase. Each item is inspected before dispatch and is delivered with a tamper-evident authenticity tag. Removing that tag affects your return rights, as set out in our Return & Refund Policy.
6. Pricing, Errors, and Corrections
All prices are displayed in United States dollars unless stated otherwise and are exclusive of applicable sales tax, import duties, and customs charges, which are calculated and disclosed where applicable before you complete your purchase. Prices are subject to change without notice, but a change will not affect an order we have already accepted.
Occasionally information on our site may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. We reserve the right to correct any error and to change or update information, or cancel an order, at any time without prior notice, including after you have submitted your order. If we cancel an order because of a pricing or description error, we will notify you and refund you in full. We are under no obligation to update information on the site except as required by law.
7. Orders and Acceptance
Your submission of an order is an offer to purchase. The order confirmation email we send you acknowledges receipt of that offer; it does not constitute acceptance. A binding contract is formed only when we dispatch the product and send you a shipping confirmation.
We may refuse, limit, or cancel any order, in whole or in part, including where the product is unavailable, where an error in price or description has occurred, where the order appears to have been placed by a reseller or for resale, where payment cannot be verified, or where we suspect fraud. Where we cancel an order that has been paid for, we refund the full amount to your original method of payment.
8. Payment
- Payment is due in full at the time of purchase. We accept the payment methods displayed at checkout.
- By submitting payment details, you represent that you are authorized to use the payment method and you authorize us to charge the total order amount, including taxes and shipping.
- All orders are subject to identity and fraud verification. We may request additional information before dispatch and may cancel and refund an order that does not pass verification.
- Card data is processed directly by our payment providers. Northaven does not store full payment card numbers. See our Privacy Policy for details.
- If your bank charges a foreign transaction or currency conversion fee, that fee is set by your bank and is not charged or controlled by Northaven.
9. Shipping, Delivery, and Risk of Loss
Estimated delivery time is 8 to 30 business days from order confirmation, covering verification, inspection, handling, international transit, and customs clearance. Delivery estimates are estimates and not guarantees. Consistent with the Federal Trade Commission's Mail, Internet, or Telephone Order Merchandise Rule (16 C.F.R. Part 435), if we cannot ship within the stated timeframe we will notify you and give you the choice of consenting to the delay or canceling for a full refund.
Shipments are trackable, insured, and require a signature on delivery. Risk of loss and title pass to you upon delivery of the product to the shipping address you provided. You are responsible for supplying a complete and accurate address; we are not liable for orders lost or delayed because of an address error or an unclaimed parcel. Delivery issues are handled under our Return & Refund Policy.
You are the importer of record for shipments into the United States and are responsible for any duties, taxes, and customs charges assessed, except where those amounts were collected at checkout.
10. Returns, Refunds, and Cancellations
Returns, exchanges, cancellations, refunds, and claims for damaged, defective, or incorrect items are governed by our Return & Refund Policy, which is incorporated into these Terms. In summary, eligible items may be returned within 30 calendar days of delivery, in unworn condition with the authenticity tag intact, after a Return Merchandise Authorization has been issued. Please read that policy in full before purchasing.
11. Limited Warranty
Northaven timepieces carry a 24-month limited warranty against defects in materials and workmanship under normal use, as described in our Return & Refund Policy. That limited warranty is the only express warranty we provide. It does not cover normal wear, battery replacement, cosmetic damage, water exposure beyond the stated rating, accident, misuse, or work performed by an unauthorized party.
12. Intellectual Property
All content on our Services, including the Northaven name and logo, product photography, text, graphics, page layouts, and software, is owned by Northaven or its licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your own non-commercial purposes. You may not copy, reproduce, republish, scrape, frame, sell, or create derivative works from any part of the Services without our prior written permission.
If you believe material on our site infringes your copyright, send a notice under the Digital Millennium Copyright Act to help@northavencompany.com, identifying the work, the material at issue, your contact details, a statement of good faith belief, and a statement made under penalty of perjury that you are authorized to act for the rights holder.
13. Reviews, Comments, and Submissions
If you submit a review, comment, photograph, suggestion, or other content, you grant Northaven a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, adapt, publish, and display that content in connection with our business, without compensation to you. You represent that the content is yours to submit, that it is accurate, and that it does not infringe any third party's rights or violate any law.
We may, but are not obliged to, monitor, edit, or remove content that we consider unlawful, offensive, defamatory, misleading, or otherwise objectionable. Consistent with the Consumer Review Fairness Act, we do not prohibit or penalize honest negative reviews of our products or services.
14. Prohibited Uses
You agree not to use the Services to: violate any law or regulation; infringe the intellectual property rights of others; submit false or misleading information; transmit malware or any harmful code; scrape, crawl, or harvest data by automated means; interfere with or circumvent the security features of the Services; impersonate another person; harass or abuse our staff or other customers; purchase for resale without our written authorization; or conduct fraudulent transactions or chargeback abuse. We may terminate your access to the Services for any breach of this section.
15. Third-Party Links and Tools
Our Services may contain links to third-party websites and may give you access to third-party tools that we neither control nor monitor. Those tools are provided "as is" and "as available," without any warranty of any kind. Your use of them is at your own risk, and your dealings with any third party, including payment for and delivery of goods or services, are solely between you and that third party.
16. Disclaimer of Warranties
Except for the express limited warranty stated in Section 11, and to the fullest extent permitted by applicable law, the Services and all products are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defect will be corrected.
Some states do not allow the exclusion of implied warranties or limitations on how long an implied warranty lasts, so the exclusions above may not apply to you. In that case, any implied warranty is limited in duration to the period of our express limited warranty. This agreement gives you specific legal rights, and you may also have other rights that vary from state to state.
17. Limitation of Liability
To the fullest extent permitted by applicable law, Northaven, its owner, employees, suppliers, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or relating to your use of the Services or any product purchased, whether based in contract, tort, strict liability, or any other theory, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms, the Services, or any product will not exceed the amount you actually paid for the product giving rise to the claim.
Nothing in these Terms excludes or limits liability for fraud, for gross negligence or willful misconduct, for death or personal injury caused by negligence, or for any other liability that cannot be excluded under applicable law. Some states do not allow the exclusion or limitation of incidental or consequential damages, so these limitations may not apply to you.
18. Indemnification
You agree to indemnify and hold harmless Northaven and its owner, employees, agents, suppliers, and service providers from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of your breach of these Terms or any policy incorporated by reference, your violation of any law, or your infringement of the rights of a third party.
19. Dispute Resolution and Arbitration
19.1 Informal resolution first. Most concerns can be resolved quickly. Before starting a formal proceeding, you agree to contact us at help@northavencompany.com with a written description of the dispute and the relief you are seeking, and to allow us 60 days to resolve it. We will do the same before bringing a claim against you.
19.2 Binding arbitration. If the dispute is not resolved informally, you and Northaven agree that any dispute arising out of or relating to these Terms or any purchase will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this section. The arbitration may be conducted by telephone, by videoconference, on written submissions, or in person in the federal judicial district in which you reside, at your election. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.
19.3 Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive relief in court to protect intellectual property rights. Nothing in this section prevents you from reporting a concern to a government agency or from participating in an action brought by one.
19.4 Class action waiver. Disputes will be arbitrated only on an individual basis. You and Northaven waive any right to bring or participate in a class, collective, consolidated, or representative action. If this waiver is found unenforceable as to a particular claim, that claim will proceed in court and the remaining claims will continue in arbitration.
19.5 Your right to opt out. You may opt out of this arbitration agreement by emailing help@northavencompany.com with the subject line "Arbitration Opt-Out" within 30 days of your first purchase, stating your name, address, and order number. Opting out will not affect any other part of these Terms and will not affect your ability to purchase from us.
20. Governing Law
These Terms and any dispute arising from them are governed by the laws of Portugal, excluding its conflict of law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. If you are a consumer resident in the United States, this choice of law does not deprive you of the protection of any mandatory federal or state consumer protection law that applies to you, and those protections continue to apply in full. Where arbitration under Section 19 does not apply, the courts of Lisbon, Portugal, and the courts of your state of residence in the United States each have jurisdiction, and you may bring proceedings in either.
21. Notice for California Residents
Under California Civil Code section 1789.3, California residents are entitled to the following notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.
22. Electronic Communications
By using the Services, you consent to receive communications from us electronically, including by email and through notices posted on our website. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that they be in writing, consistent with the federal E-SIGN Act. You may withdraw this consent by contacting us, though doing so may prevent us from providing the Services.
23. Force Majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, extreme weather, epidemics, war, civil unrest, strikes, carrier or supplier failures, customs delays, changes in import regulations, power or internet outages, and cyberattacks. Where such an event affects your order, we will notify you and, if the delay is substantial, offer you the choice of waiting or canceling for a full refund.
24. Termination
These Terms remain in effect while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access at any time for breach of these Terms or where required by law. Termination does not affect any order already accepted, and the provisions that by their nature should survive, including Sections 12, 13, 16, 17, 18, 19, and 20, will survive.
25. General Provisions
- Entire agreement: these Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Northaven and supersede any prior understandings.
- Severability: if any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in full force.
- No waiver: our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment: you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- No third-party beneficiaries: these Terms create no rights for any person other than you and Northaven.
- Headings: section headings are for convenience only and do not affect interpretation.
- Language: these Terms are drafted in English, and the English version governs.
26. Changes to These Terms
We may revise these Terms at any time by posting an updated version on this page with a new "Last updated" date. Changes apply to orders placed after the update takes effect; the version in force when you placed an order governs that order. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
